PositionSummary
J.P. Morgan is seeking to recruit anexperienced qualified company secretarial professional to take directresponsibility for the provision of company secretarial services to our clients.Candidates must have a high level of experience attending and minuting boardand committee meetings and be able to demonstrate that they havecurrent/previous experience facing off directly to senior board members and seniorclient representatives.

Key responsibilities

Operational
• Preparationof board and committee papers
• Attendanceat board and shareholder meetings
• Drafting ofminutes of meetings
• Preparationand release of company announcements to the London Stock Exchange
• Timetabling,drafting and proofing of annual & interim financial accounts

Oversight
• Review andsign-off of statutory filings
• Review andsign-off of share buy backs, issuances & conversions
• Review andsign-off of month end reporting to the AIC
• Liaisonwith 3rd party payroll providers

Client/ServiceDelivery
• Ensuretimely delivery of all client outputs (including those originating fromoutsource service
partners)
• Adoptflexible approach to ensure client deadlines are met
• Recommendand/or initiate corrective action when service levels fall short of standard
• Proactivelywork to maintain and enhance client relationships
• Assist withthe planning of client meetings and visits
• Assist withthe take on of new business

Control/Risk
• Ensure fullfunctional understanding of (and compliance with) operational risk processes& controls
• Identify andremediate any risk issues in accordance with internal risk policies
• Supervise thepreparation of procedures & checklists and conduct ongoing review ofexisting procedures & checklists

Qualifications
• ICSAqualified
• Experienceproviding company secretarial support within financial services
• Listedinvestment company experience would be highly advantageous
• Technicalknowledge of:
o UK Companies Act
o FCA Listing, Prospectus, Disclosure & Transparency Rules
o FRC / AIC Codes of Corporate Governance
• Technicalknowledge of Guernsey and Jersey legislation and regulations would also be advantageous
• Excellentpresentation, interpersonal and communications skills - both written and oral
• Ability toliaise effectively with peers and clients at various level of seniority
• Must bepro-active and responsive
• Must havethe ability to work accurately under pressure and to tight deadlines

Additionalinformation
Theindividual should be self-motivated, innovative, analytical and be able to workwell on their own or within a team environment.

From time to time, theindividual will be required to manage the team in the absence of seniormanagers.

Theindividual must be able to travel to attend both UK and offshore board meetingsas required.
