Our client is a global international bank with a strong corporate and investment banking presence in the Asia-Pacific region. They are currently seeking an experienced Transactional Lawyer to join their legal team on a 1-year renewable contract basis to lead and support legal due diligence across regional transactions.
Key Responsibilities
- Lead and execute comprehensive legal due diligence for transactional deals, corporate financing, and investment initiatives across the APAC region.
- Identify critical legal risks, transactional red flags, and regulatory compliance issues arising from due diligence findings; propose actionable legal solutions and drafting safeguards.
- Collaborate with internal deal teams, legal counsel, and business stakeholders to review and advise on transaction structures, non-disclosure agreements, legal term sheets, and principal deal documents.
- Manage relationships with external legal advisers, reviewing external legal opinions and diligence reports to ensure quality, efficiency, and commercial alignment.
- Ensure all transactions adhere to applicable banking regulations, cross-border transactional laws, and internal risk governance standards.
Key Requirements
- Qualified Lawyer in a common law jurisdiction or equivalent international qualification.
- Minimum 5 years of Post-Qualification Experience (PQE) focused on corporate law, cross-border M&A, private equity, or banking transactions.
- Proven track record in managing legal due diligence streams independently, either within top-tier law firms or in-house at a multinational financial institution.
- Strong commercial judgment, sharp drafting abilities, and excellent negotiation skills.
- Ability to communicate complex legal risks clearly to senior executives and business stakeholders under tight deal timelines.
